Provider Terms

These Provider Terms govern your participation in the Manivo marketplace as a service provider. They explain provider eligibility, work offers, service expectations, payouts, customer interactions, safety requirements, and other responsibilities.

By creating a provider profile, accepting a work offer, or performing services through Manivo, you agree to these Provider Terms.

Our Provider Terms

1Acceptance of Provider TermsβŒ„

These Provider Terms are a binding agreement between you and Manivo regarding your use of the Manivo marketplace as a provider. They supplement Manivo’s general Terms & Conditions and Privacy Policy.

By creating or maintaining a provider profile, receiving or accepting work offers, communicating with customers through Manivo, or performing services arranged through the Platform, you agree to comply with these Provider Terms.

2Independent Provider RelationshipβŒ„

You participate in Manivo as an independent service provider and not as an employee of Manivo. You decide whether to accept work offers and, subject to the confirmed service requirements and applicable law, how to organize and perform accepted work.

You are responsible for your own business operations, expenses, tools, transportation, taxes, insurance decisions, licenses, registrations, permits, and other obligations that apply to the services you perform.

Nothing in these Provider Terms creates an employment, agency, partnership, franchise, or joint-venture relationship between you and Manivo.

3Provider Eligibility and Profile InformationβŒ„

You must provide accurate, current, and complete information in your provider profile, including your contact information, service capabilities, service areas, availability, tools or equipment, qualifications, and other information requested by Manivo.

You must promptly update information that becomes inaccurate or materially changes. Manivo may review profiles before activation and may request additional information reasonably necessary to evaluate marketplace eligibility.

Provider profile status may include Pending Review, Active, Suspended, or Inactive. Only providers approved for active marketplace participation may receive work offers.

4Background Checks, Qualifications, and Restricted WorkβŒ„

Manivo requires providers to complete a background check before activation and may use background-check or other verification services as part of provider onboarding or ongoing marketplace safety processes.

You must not accept work that requires a license, certification, legal qualification, specialized equipment, or other hard requirement that you do not possess.

You are responsible for understanding and complying with laws that apply to the services you perform. Manivo’s review or display of provider information does not replace your responsibility to maintain required qualifications.

5Service Capabilities, Availability, and Service RadiusβŒ„

You are responsible for accurately selecting the services you are capable of performing and for maintaining reasonable availability and service-area information.

Manivo may use your selected services, ZIP codes, service radius, availability, workload limits, tools, qualifications, languages, customer preferences, and other matching factors when determining which offers to send you.

If your availability changes, you should update your profile or calendar exceptions promptly so Manivo can avoid sending offers that you are unlikely to perform.

6Work Offers and AcceptanceβŒ„

A work offer may include the service scope, location or service area, requested schedule, provider payout, and other relevant details. You are responsible for reviewing the offer before accepting it.

You are not required to accept every offer, and declining an offer does not by itself result in a negative penalty to your provider account.

Once you accept a work offer, you are expected to perform the accepted work as scheduled unless a legitimate issue requires cancellation, rescheduling, or support intervention.

Manivo may send offers to multiple eligible providers. An assignment is not final until Manivo confirms the work package or order assignment.

7Flexible Add-Ons and Work Outside Selected CapabilitiesβŒ„

Manivo may occasionally offer you an optional add-on task that is outside your currently selected service capabilities when the task does not require a license, certification, restricted qualification, specialized equipment, or other hard requirement.

You may accept or decline such an optional add-on. Declining an optional flexible add-on does not negatively affect your provider standing.

If you accept the add-on, you represent that you can safely and competently perform the task and agree to follow the confirmed scope and payout terms.

8Service Performance and Professional StandardsβŒ„

You agree to perform accepted services professionally, respectfully, safely, and in accordance with the confirmed scope. You should arrive reasonably on time, communicate material delays, use appropriate tools and methods, and treat customers, their homes, property, pets, and personal information with care.

You must not engage in threatening, discriminatory, harassing, deceptive, unsafe, intoxicated, illegal, or abusive conduct while performing or coordinating Manivo work.

If a task cannot be completed safely or legally, stop and contact Manivo rather than performing work that creates unreasonable risk.

9Scope Changes and Customer ApprovalβŒ„

If the actual condition, size, quantity, access, or required work differs materially from the confirmed order, do not unilaterally charge or materially expand the work outside the approved scope.

Use the available Manivo workflow or contact support to propose a scope or price adjustment when appropriate. Where customer approval is required, the revised work should not proceed until approval is received.

You should document material scope issues accurately and avoid pressuring customers to approve unnecessary work.

10Customer Communication and PrivacyβŒ„

Customer contact information, addresses, service notes, access details, and other information received through Manivo may be used only as reasonably necessary to coordinate and perform the accepted service.

You may not sell, misuse, publish, retain for unrelated purposes, or improperly disclose customer information. You should use professional communication and keep customers reasonably informed about material scheduling or service issues.

11Payouts, Adjustments, and Marketplace EconomicsβŒ„

The provider payout displayed or confirmed for a work package represents the amount Manivo expects to pay for completion of the accepted scope, subject to approved adjustments, cancellations, refunds, disputes, chargebacks, or other legitimate corrections.

Customer prices may differ from provider payouts. Manivo may retain marketplace fees, service fees, payment-processing amounts, supplements, or other economics associated with operating the Platform.

Where Manivo approves a provider supplement or minimum payout adjustment for a specific work package, the adjusted amount will be reflected in the provider payout for that assignment.

12Cancellations, Late Arrivals, and No-ShowsβŒ„

If you need to cancel or cannot perform accepted work, notify Manivo as soon as possible so another provider or alternate arrangement can be pursued.

Repeated last-minute cancellations, repeated failure to appear, materially unreliable availability, or failure to communicate may affect your marketplace standing or eligibility for future work.

Manivo may consider emergencies, safety issues, severe weather, customer access failures, or other circumstances when reviewing cancellations.

13Completion, Customer Sign-Off, and DocumentationβŒ„

You should accurately record completion status and follow applicable Manivo completion or customer sign-off workflows. Do not mark work complete when material portions remain unfinished unless the Platform or support team has documented an approved partial-completion resolution.

Where photographs, notes, incident documentation, or other completion records are requested, provide accurate information and respect customer privacy.

14Ratings, Reviews, and Future MatchingβŒ„

Customers may rate and review providers after service. Customers may also indicate that they do not want a particular provider matched to them again.

Manivo may use ratings, reviews, customer preferences, support history, completion reliability, incidents, and other marketplace-quality information when evaluating future matching and provider account standing.

Manivo does not guarantee any minimum number of offers, assignments, customers, ratings, or earnings.

15Incidents, Damage, Safety, and CooperationβŒ„

Report significant property damage, injuries, safety incidents, customer conflicts, suspected fraud, or other serious issues to Manivo promptly.

You agree to cooperate reasonably with Manivo when investigating service complaints, payment disputes, safety incidents, or other marketplace concerns, including providing relevant records or explanations.

You remain responsible for your own conduct and for losses or liabilities arising from your negligence, misconduct, unlawful activity, or breach of these Provider Terms, subject to applicable law.

16Taxes and Business ResponsibilitiesβŒ„

You are responsible for determining and satisfying your own tax obligations arising from amounts you earn through Manivo, including income taxes, self-employment taxes, business registrations, and other obligations applicable to you.

Manivo may collect tax information or provide tax forms when required by law. You are responsible for providing accurate tax information when requested.

17Account Suspension, Inactivation, and TerminationβŒ„

Manivo may suspend, inactivate, restrict, or terminate provider marketplace access when reasonably necessary to address fraud, safety concerns, material customer complaints, repeated nonperformance, policy violations, inaccurate qualifications, misuse of customer information, legal requirements, or other material marketplace risk.

Where appropriate, Manivo may investigate or request additional information before making a final account decision. Manivo may also inactivate accounts that are no longer participating in the marketplace.

18Customer Non-Circumvention & Non-SolicitationβŒ„

Manivo invests in customer acquisition, technology, scheduling, payment processing, provider matching, support, and marketplace operations. A β€œManivo-Introduced Customer” is a customer whom you first learn of, communicate with, receive a work offer involving, are matched with, or perform services for through Manivo. A customer you can reasonably demonstrate was already your customer before the Manivo introduction is not a Manivo-Introduced Customer solely because that customer later uses Manivo.

During your participation in Manivo and for twelve (12) months after your most recent Manivo service for, booking involving, or introduction to a particular Manivo-Introduced Customer, you may not directly or indirectly solicit or encourage that customer to obtain paid services from you outside Manivo, encourage the customer to cancel or bypass a Manivo booking, offer an off-platform discount or other incentive intended to avoid Manivo, or direct the customer to another payment, booking, business, website, telephone number, social-media account, marketplace account, person, or entity for the purpose of bypassing Manivo.

The restriction applies regardless of who initiates the contact. During the applicable twelve-month period, you may not knowingly accept or perform off-platform paid services for a Manivo-Introduced Customer when the provider-customer relationship originated through Manivo. If such a customer contacts you directly for additional or future services, you should direct the customer to book through Manivo.

You may communicate directly with a customer as reasonably necessary to perform an active Manivo service, including coordinating arrival or property access, discussing instructions, addressing scope or safety issues, and completing authorized work. Contact information exchanged for a Manivo service may not be used to circumvent Manivo.

This section does not prevent you from operating your own independent business, advertising to the general public, working through other marketplaces, working for competitors, obtaining customers independently, or serving legitimate pre-existing customers. It is limited to customer relationships created or facilitated through Manivo.

You may not evade this section through an employee, helper, family member, subcontractor, affiliate, another business, another marketplace account, or another person or entity. Misuse of Manivo customer information or intentional circumvention may be treated as a material breach of these Provider Terms and may result in account restriction, suspension, termination, or other remedies available under these Terms and applicable law. Manivo does not impose a penalty merely because you independently compete with Manivo or operate your own business.

19Changes to Provider TermsβŒ„

Manivo may update these Provider Terms as the marketplace evolves. When changes are made, the β€œLast updated” date will be revised and additional notice will be provided when required by law or when changes are material.

Continued participation after updated Provider Terms become effective constitutes acceptance to the extent permitted by law.

20Governing Law and ContactβŒ„

These Provider Terms are governed by applicable law, including the laws of the State of Arizona, without regard to conflict-of-law principles except where another law must apply.
